This report covers January - December 2022
Board Activities
- Approved the GM's 2022 objectives, and evaluated the GM's performance in 2021.
- Finished reviewing and updating the By-Laws, with a major update to the Indemnification section. This entailed a change to our New Jersey Certificate of Incorporation. Also reviewed various insurance options, selected an insurance broker, and purchased a policy covering Directors' and Officers' liability indemnification as required by the By-Laws.
- Canceled the 2022 election, in accordance with the By-Laws, as the number of candidates matched the number of available seats.
Financials
The bank balance as of 31 December 2022 was $26,547.10. This is sufficient to cover operating expenses for approximately 6 years, barring extraordinary unforeseen expenses. In addition, roughly $300 of DP expenses annually are paid directly by volunteers as donations. DPF is up-to-date with all Federal and NJ state tax and legal filings.
Donations are down significantly from 2021 ($4,385.62 vs $8,332.91), but it is not a major concern at this point given our current bank balance.

- Feb: 43,000th unique title posted

Some highlights:
- July & Sept: Design/implementation of Image Viewer Widget, an important precursor to some long-planned interface changes for Proofreading and Formatting.
- Mar - June: Various system software upgrades
